1. Introduction

Welcome to Calloptima ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, consulting services, and any related materials (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

2. Services Provided

Calloptima provides specialized consulting, strategy, architecture audits, and embedded advisory services for Voice AI deployments. The specific scope, deliverables, timelines, and fees for any consulting engagement will be outlined in a separate Statement of Work (SOW) or consulting agreement signed by both parties.

3. Client Responsibilities

To ensure the success of our consulting engagements, you agree to:

Provide timely access to necessary systems, data, and personnel.
Ensure that any data or materials you provide do not violate third-party rights or applicable laws.
Be solely responsible for the final implementation and operation of your Voice AI systems, unless explicitly stated otherwise in an SOW.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our engagement. A separate Non-Disclosure Agreement (NDA) may be executed prior to the commencement of specific consulting services.

5. Intellectual Property

Unless otherwise agreed in writing, Calloptima retains all intellectual property rights to our pre-existing methodologies, frameworks, templates, and tools used during the engagement. Upon full payment of fees, you are granted a non-exclusive, perpetual license to use the specific deliverables created for your organization for your internal business purposes.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Calloptima shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to our Services. Our total liability for any claims arising under these Terms shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Poland and the European Union, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Poland.

8. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date.
